Service Agreement & License Terms

This Service Agreement (“Agreement”) sets out the terms on which Rise + Run Co. (“we,” “us,” or “our”) provides you (“you” or “your organization”) with access to the Nonprofit Executive Performance Management Hub (“the Hub”). By purchasing, accessing, or using the Hub, you agree to the terms below.

1. License Grant

• This digital product is licensed for use by your organization only. By accessing or using this resource, you agree to the Licensing Terms below.
• Upon purchase, we grant your organization a non-exclusive, non-transferable license to use the Hub materials (including templates, spreadsheets, guides, policies, and training videos).
• This license is for your organization’s use only. You may share access with your organization’s board directors, staff, and volunteers, but not beyond your organization.

2. Restrictions

• You may not copy, resell, sublicense, distribute, or publicly share the Hub materials outside your organization without prior written consent from us.
• Consultants and advisors must purchase a separate licensing arrangement to use the Hub with multiple client organizations.

3. Ownership

• All intellectual property rights in the Hub materials remain with Rise + Run Co.
• You may customize templates and tools for internal use, but derivative works remain subject to this Agreement.

4. Access & Support

• Purchase includes lifetime access to the Hub, including any updates we release in the future.
• We provide ongoing support through email, office hours, and video guidance as outlined on the sales page.
• We do not guarantee uninterrupted access, but will take reasonable steps to maintain availability.

5. Refunds

• We offer a 7-day refund guarantee. If you are unsatisfied, notify us within 7 business days of purchase for a full refund. After this period, all sales are final.

6. Limitation of Liability

• The Hub is provided for educational and governance purposes. It is not legal advice.
• Rise + Run Co. is not liable for any direct or indirect damages arising from your use of the Hub, except to the extent such limitation is prohibited by law.

7. Termination

• This license may be terminated if you breach these terms (for example, unauthorized sharing or resale).
• Upon termination, you must cease all use of the Hub and delete any copies outside your active organizational use.

8. Governing Law

• This Agreement is governed by the laws of Ontario, Canada.

9. Licensing Terms

This digital product is licensed for use by your organization only. By accessing or using this resource, you agree to the following terms:

• Internal Use Only: Your organization is granted a non-transferable, non-exclusive license to use this product for internal purposes only.
• No Distribution: You may not share, distribute, reproduce, or otherwise make this product available to individuals, organizations, or entities outside of your own organization without prior written permission from Rise + Run Co.
• No Commercial Use: This product may not be sold, sublicensed, or used for any commercial purposes.
• Copying Restrictions: You may make copies for internal staff or board directors/committee members, provided they are used exclusively for your organization’s governance or operations.
• If you'd like to share this resource more broadly, use it in training, or incorporate it into your own materials or consulting work, please contact us to request permission or discuss a licensing arrangement. This document does not constitute legal or HR advice.
